Trust Builders, Inc. Referral Program

Terms and Conditions

The Referral Program (Program) grants to the person defined below as the Referrer the right to refer to Trust Builders, Inc (Company) qualifying new customers (Referred) for the purchase of Company products directly from Company in exchange for a gift (referral gift), as set forth below.

1. Referral Process

1.1 Eligibility - Referrer

To be eligible for a referral gift, a Referrer does not need to be a current client of Company. However, to be eligible a Referrer must be a past or present client of Company and must be in good financial standing with Company to receive a referral gift under the Program. Company reserves the right to decide whether a referrer is in good financial standing with Company.

1.2 Eligibility - Referred

For a Referrer to be eligible for the referral gift, the Referred under the Referral Program cannot be a current or former Company customer, be purchasing Company software with a discounted offer, or are in the process of already ordering Company products prior to the referral.

1.3 Referral Procedure

A Referred must identify the Referrer, provide Referrer's contact information and indicate that Referrer provided referral to Referred at the time of the ordering of Company's product. A Referred shall only indicate one (1) Referrer per Referred. This information cannot be supplied through any other form of submission. Failure to provide this information will result in ineligibility to the referral program. Eligibility of Referrer to receive a referral gift is at the sole discretion of Company.

1.4 Referral Gifts

Company will mail Referrer a referral gift in the form of a $100.00 Amazon.com® Gift Card for each referral that meets the requirements of the referral program and is deemed to be compliant with this program's terms by Company. A maximum of five (5) referral gifts per calendar year shall be provided by Company to any Referrers for all eligible referrals. Eligibility is at the sole discretion of Company. (Please contact us directly if you exceed 5 referrals in any calendar year).

Company reserves the right to substitute any item as a referral gift. The item will have comparable value to a $100.00 Amazon.com Gift Card. A Referrer, who is eligible to receive a referral gift, may choose to receive a $100.00 credit to their account in lieu of the referral gift chosen by Company. Referrer must make such a determination at the time of contact with Company.

1.5 Payment of Referral Gift Process

Company shall contact the Referrer to determine eligibility for Referral gifts. Referral gifts shall be mailed within 20 business days after the Referred, who as the result of an eligible referral, registers the Company software which was purchased as a result of the referral. This date shall be at the discretion of Company. Contact information shall be provided by Referred. Company is under no obligation to obtain any of the Referrer's contact information except that information provided at the time of the Referred's order. If a mailing address of Referrer is not provided, it is the sole discretion of Company as to whether the referral remains eligible.

2. Reserved Rights

This Program shall in no way limit Company's right to sell directly or indirectly any product or service to any current or prospective customers, including a Referred.

3. No Other Rights

No other rights are granted to a Referrer under this Program and this Program does not grant Referrer any right to resell or otherwise distribute any Company product, nor any right to use any Company trademark, nor any right to provide any services related to any Company product.

4. Right to Modify

Company reserves the right to change or discontinue the Program at any time without notice.

5. Entire Agreement

The provisions of this Program represent the entire agreement between Referrers and Company with respect to the Referral Program.

6. No Warranty

COMPANY MAKES NO WARRANTIES AND REPRESENTATIONS, AND EXPRESSLY DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY OR OTHERWISE WITH RESPECT TO THIS REFERRAL PROGRAM.

7. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL COMPANY BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND OR NATURE WHATSOEVER, ARISING OUT OF OR IN ANY WAY RELATED TO THIS PROGRAM REGARDLESS OF THE LEGAL THEORY UPON WHICH SUCH CLAIM FOR DAMAGES IS BASED, EVEN IF COMPANY HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES IF SUCH DAMAGES COULD HAVE BEEN REASONABLY FORESEEN. IN NO EVENT SHALL COMPANY'S LIABILITY UNDER THIS REFERRAL AGREEMENT EXCEED THE AMOUNT OF THE REFERRAL GIFT FOR THE QUALIFYING REFERRAL.

8. Governing Law

This Program will be interpreted, construed, and enforced in all respects in accordance with the laws of the State of Oregon, without giving effect to any principles of conflicts of laws. Any actions, controversies, claims, disputes and other factual or legal matters in question arising out of or relating to this Program or the alleged breach of its terms, will be settled by binding arbitration conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association, as then in effect.
